Welcome to SalesPal AI ("we", "us", "our"). These Terms and Conditions govern your use of our platform at salespalai.com. By accessing or using SalesPal AI, you agree to be bound by these terms. If you do not agree, please do not use our service.

2. Description of Service
SalesPal AI is a consent-based lead response automation platform. Our service automatically replies to leads who have voluntarily submitted their contact information through your own opt-in forms, landing pages, or advertising campaigns.
SalesPal AI does not enable cold outreach, unsolicited messaging, or contact of any person who has not first expressed direct interest in your business. All automation is triggered exclusively by inbound opt-in actions.
3. Acceptable Use Policy
You MAY use SalesPal AI to:
- Respond automatically to leads who have voluntarily opted into your own forms or campaigns
- Automate follow-up sequences with contacts who have given explicit consent to receive communications
- Integrate the platform with your own lead capture forms, CRMs, and landing pages
- Manage inbound lead communication across your business
You MAY NOT use SalesPal AI to:
- Send cold outreach or unsolicited messages to contacts who have not opted in
- Upload, import, or use purchased, rented, or scraped contact lists
- Contact any person who has not first expressed direct interest in your business
- Violate CAN-SPAM, GDPR, TCPA, or any applicable local marketing or data protection laws
- Resell, white-label, or sublicense the platform without prior written permission from SalesPal AI
- Use the service for any illegal, fraudulent, or harmful purpose
Violation of this Acceptable Use Policy will result in immediate account termination without refund.
4. Payment Terms
All payments are processed securely by Paddle, our Merchant of Record. Paddle handles all billing, tax calculation, and compliance on our behalf.
- Subscription billing: Monthly subscriptions are billed on the same date each month.
- Setup fees: One-time setup fees are charged at onboarding and are non-refundable once work has commenced.
- Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No further charges will be made.
- Price changes: We will provide 30 days' notice before any price changes take effect.
- Currency: All prices are in US Dollars (USD).
5. Intellectual Property
SalesPal AI retains all intellectual property rights to the platform, including its software, design, and technology. You are granted a limited, non-exclusive licence to use the platform during your active subscription.
You retain full ownership of your own lead data, client contacts, and business content. We do not claim any rights over your data.
6. Data & Privacy
Your use of SalesPal AI is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
You are solely responsible for ensuring that all contacts in your system have given valid, explicit consent to receive communications from your business. SalesPal AI acts as a data processor on your behalf and processes contact data only as directed by you.
7. Limitation of Liability
SalesPal AI is provided on an "as is" basis. We make no guarantees regarding specific results, lead conversion rates, or business outcomes — these vary significantly by market, offer, and client.
To the maximum extent permitted by law, our total liability to you for any claim arising from use of the service shall not exceed the total fees paid by you in the three months preceding the claim.
8. Termination
Either party may terminate the agreement with 30 days' written notice. We reserve the right to terminate your account immediately and without notice if you violate our Acceptable Use Policy or any of these Terms.
Upon termination, your data will be deleted from our systems within 30 days, except where we are required to retain it by law.
9. Governing Law
These Terms are governed by the laws of Bangladesh. In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation before pursuing any formal legal process.
